NY Publication Requirement – Explained
The process of forming an LLC in New York isn’t over when you submit your formation documents to the NY Division of Corporations – you also have to satisfy the state’s publication requirement (NY LLC L § 206). Here’s what that entails:
- Create a notice of publication
- Submit this notice of publication to two newspapers (one daily, one weekly) appointed by your County Clerk
- Publish these two notices of publication at least once a week for 6 consecutive weeks
- Make sure these notices are published within 120 days of formation
A notice of publication must include the same information contained in your Articles of Organization. (In fact, you can simply publish your Articles of Organization if you wish.) This means you need to provide:
- LLC Name
- Date of Formation
- County where your LLC is located
- LLC address
- Registered Agent name and location
- Date of dissolution, if applicable (most LLCs skip this)
- Description of business activity
Foreign LLCs in New York must also adhere to the state’s LLC publication requirement (NY LLC L § 802). (A NY Foreign LLC is an LLC that was formed in a different state but registers to do business in NY.)
