How to file a certificate of change in New York


Need to change any basic information about your NY business entity filing? Whether you own a limited liability company or a corporation, you’ll have to file what’s known as a Certificate of Change. You can use this form to:

  • change your registered agent
  • update the county where your company is located
  • update your address for service of process

How to Change Your New York Registered Agent

D.I.Y.: 8 Steps to File a Certificate of Change

In order to successfully change your New York registered agent on your own, you will need to complete a NY Certificate of Change form. You can then mail, fax, or deliver the form to the New York Department of State – Division of Corporations in person. The best way to cut down on the processing time without expediting your filing is to fax the completed forms.

Keep in mind that there are two different forms for New York LLCs and New York Corporations:

To change your registered agent in New York:

  1. State the Name of Your Business Entity
  2. Leave the boxes titled “1” and “2” blank, as you are only changing your registered agent.
  3. List the name and address of your new registered agent in the first box under box “3.”
  4. Sign and date the form, as well as listing whether you are a member or manager of the business.
  5. Restate the name of your business entity.
  6. List your name and street address for return mailing.
  7. Attach the $30 filing fee in the form of check, money order, or complete a debit card authorization form.
  8. Send or deliver to the New York Secretary of State.

Whether you own an LLC or a corporation, you’ll pay $30 to file a Certificate of Change in New York.

The NY Department of State offers three different tiers for expedited processing:

  • Within 24 hours: $25
  • Same-day: $75
  • Within 2 hours: $150

Note that if you’d like to pay for expedited service, it’ll have to be processed separately from your Certificate of Change payment. You can pay with a check, or money order, or use the state’s Credit Card/Debit Card Authorization form.

Changing your business address in New York requires filing a Certificate of Change – this is the same document you’d use to change your registered agent. The filing fee is $30.

Changing the name of a corporation in New York requires filing a Certificate of Amendment (name change only), which costs $60. You’ll have to use the form that’s specific to your entity type:

Changing your LLC’s Articles of Organization requires filing a general Certificate of Amendment, as opposed to a Certificate of Amendment for “name change only.” The document you’ll need to file depends on your entity type:
