How to Change Your New York Registered Agent

Changing your New York registered agent or address for service of process from the New York Secretary of State can be a confusing process.

We’re here to help. If you’d like to change your New York Registered Agent to us, the easiest way is to tell us when placing an order and we will update your filing with the New York Division of Corporations for you.

If you’d like to change your NY registered agent yourself, there’s a couple points that we should clarify. The standard language will require you to list the New York Secretary of State as the registered agent. You can list optional language electing to have another registered agent such as New York Registered Agent LLC act as your registered agent. There is another option of just listing your registered agent service and registered office address as the official address for the New York Secretary of State to forward your notice to if you get service of process served to the New York Secretary of State on your behalf. Because it is culturally entrenched to simply notify the NY SOS, we suggest listing your registered agent and address as the address for service of process from the Secretary of State. We also suggest actually filing a certificate to list a registered agent as well. You do not have to list a specific registered agent upon normal filings by default. Thus creating a confusing situation, because every state in the US simply has you list a registered agent instead of defaulting people to the New York Secretary of State and then listing an address with the SOS for where to mail notice. The real benefit of appointing and changing your filing to have a specific registered agent listed is should you get sued, a decent lawyer would need to actually serve your registered agent which would provide a way better way of you getting legally notified versus a lawyer simply sending a service of process to a huge government agency and you hoping they use the mail properly to get these documents to you.

Options to File a Certificate of Change of registered agent:

A Certificate of Change can be filed with the New York Department of State Division of Corporations in order to make a change to your New York registered agent. There are separate forms for LLCs (DOS-1359) and Corporations (DOS-1556).

The Filing Fee: $30

New York does not require us to sign your Certificate of Change. All you need to do is fill in our name and send it in with your filing fee. These forms are pre-populated in your online account.

How to File a Certificate of Amendment:

You can make an amendment to your formation document in order to change your New York registered agent. There are separate forms for LLCs (DOS-1358) and Corporations (DOS-1554).

The Filing Fee: $60

We do not recommend filing an amendment to change registered agents. This method costs twice as much money to achieve the same result.

Option to File an address update for delivery from the NY Secretary of State:

The 3rd option is to simply list a registered agent service like ours and our address as the address you list on file with the New York Secretary of State. This is the most common method because by default the SOS gets listed, and this keeps your address information private and offline. Also providing a stable address to be listed and not go out of date with the NY SOS. This is also the same form DOS-1359 but you use number 2 under the third article.
